| 英文摘要 | 公司治理的作用，在于保证公司沿着正确的方向前行。一方面，我国保险公司治理尚不健全和完善，但另一方面，我国保险业发展环境日益复杂和多变，加上行业自身存在种种问题和不足，迫切需要健全和完善的公司治理来应对这一切。 本文以企业理论、公司治理理论、风险理论和保险理论为依托，研究保险公司治理的理论基础和发展实践，旨在构建适合当前和未来发展的保险公司治理模式，以期为中国保险公司治理制度建设提供理论参考。 全文除导论外共有七章。第一章在对现代企业理论进行简要回顾的基础上，评介主要的公司治理理论流派。第二章在第一章基础上，博采众议，提出公司治理理念之新说——风险管控治理说，在明确了风险管控治理的内涵和外延...; Corporate governance play an important role to ensure that company goes forward in the right direction.
