| 英文摘要 | 公司治理模式对企业的存续和发展有着至关重要的影响，而最关键的是要找到与本国企业相适应的管理理论作为引导。当前学术界对企业治理的研究主要集中在国外公司治理理论方面，而忽略了对本土的符合中国国情的管理理论的深入探索。 本文以鞍钢宪法为切入点，通过对其全面、系统的阐述，揭示了鞍钢宪法的深刻思想内涵，并梳理了它与西方其他企业管理理论的关系及其传播路径，说明鞍钢宪法是现代企业管理的思想根源，从而论证了鞍钢宪法的先进性。接着按照交易费用理论对鞍钢宪法进行经济学分析，在模型求解的基础上，探讨了我国目前国有企业出现的问题。并且根据对国内外职工参与的研究，从实践的角度解释了鞍钢宪法的现实意义。最后，提出用鞍钢...; Corporate Governance has a significant influence on the persistence and development of a firm, and what’s the most important should be finding the management theory that is compatible with companies in our country.
