| 英文摘要 | 摘要1993年中共中央发出《关于建立社会主义市场经济体制若干问题的决定》以来，我国开始在国有企业中进行现代企业制度改革。10多年过去了，现代企业制度建设出现许多问题，如国有资产流失问题、政企难分、企业效率不高等。究其源头，盖因真正的公司治理结构难以构建和良性运作。因此，构建合理有效、良性运作的公司治理结构就有着十分重要的现实意义。现代公司治理是企业所有权配置的具体表现形式，企业所有权配置与法人治理问题是同一回事。论文的基本内容是：企业所有权（包括控制权和剩余索取权）本质上是所有者的财产所有权，只是出于对经理人及其他企业关键要素所有者激励的需要，才由所有者让渡部分企业所有权给这些企业精英者。所谓...; AbstractSince “The Decision on some Problems of Establishing Socialism Market EconomySystem” published by the Center of CCP in 1993, Chinese started to carry through thereform of modern corporation institution in state-owned enterprises.
