英文摘要	保荐制度是我国新股发行制度改革进程中的一大市场化创新，在模仿借鉴成熟市场的同时，我国实施了别具特色的双重保荐制——通过对保荐机构与保荐代表人的责任进行划分，促其各司其职。在这种制度设计下，多处于发行人现场进行尽职调查、上市辅导乃至“报会”的保荐代表人承担了非常重要的职责。而自2004年“保荐人第一股”洪城水业上市以来，保荐制度实施已近十年，在取得一系列成果的同时，上市新股业绩变脸甚至财务造假、上市后募集资金用途肆意变更等顽疾似乎仍没有得到化解，中小投资者的利益未能得到有效保护。这不禁让人反思我国双重保荐制度的有效性和合理性。然而，国内现有的研究多集中于承销商即保荐机构，对于保荐代表人这一重要领...; In China, the Sponsor System is a major market-oriented innovation in the IPO reform process.
