英文摘要	公司治理是上市公司建立起现代企业制度的核心，因其明确规定了公司的各个参与者的责任与权力分布，而其中控股股东、董事会又是公司治理的关键。当董事会成为掌握公司权力的核心，控股股东之间也存在着控制权的竞争时，若想获得公司的控制权，董事安排就成了关键。公司治理面临的一个重要问题便是上市公司不同部门间如何做出恰当的制约制度安排，分化并相互制约公司权力，以此来保护投资人与公司利益。 我们专注于上市公司经常发生的三类关联交易：产品购销、劳务的提供或接受和担保、抵押，通过连锁董事协调组织间资源交换，及其参与对公司治理中的重要特征——控制权竞争，研究是否存在对关联交易规模的影响。根据中国沪、深两市A股2008...; We focus on three categories of related transaction which listed companies often happen.The three categories of related transaction: product marketing, services offer or accept , guarantee and mortgages .
