| 英文摘要 | 由于经济全球化，公司治理受到世界各国的重视。目前公司治理也成为中国公司关心的问题，良好的公司治理机制是现代经济和证券市场健康运作的微观基础，对经济和金融的稳定与发展具有重大意义。由于监事会在公司治理中所处的核心地位，改善监事会的内部结构治理和监事会运作治理，提高公司经营绩效也就成为建立有效监督治理结构的重要任务。 本文对我国医药类上市公司的监事会治理状况进行了较为全面的研究，研究采用实证研究与规范研究相结合，以实证研究为主的方法。以我国102家医药类A股上市公司(2005)为样本，主要研究分析了我国医药类上市公司监事会治理的三个方面:监事会内部结构治理；监事会运作治理；监事会治理与公司经营绩...; With the economy globalization ,corporate governance is getting more and more attention all over the world, corporate governance now is one of the most concerning problems for Chinese companies.
