英文摘要	近二十年来新兴经济体快速发展，学术界对新兴经济体的研究兴趣显著增加，新兴经济体所特有制度背景之下的公司财务研究成为众多学者关注的研究焦点。检视十多年来财务学的发展，由LaPorta等（1997，1998，1999）学者开创的国与国之间的法与财务比较研究，揭示了制度对公司治理的重要影响，而从制度角度分析国家之间公司治理行为差异成为财务研究的一大潮流（Fan等，2011）。 民营企业是促进中国经济增长的一支主要力量。中国经济的快速发展，民营企业做出了巨大贡献，但民营企业在中国发展步履蹒跚。一方面现有经济制度中存在着所有制歧视等现象，严重地影响了民营企业的发展；另外一方面民营企业发展并未停滞不前，...; For the past two decades swiftly development of emerging markets, the interests of researchers in emerging markets growing fast.
