| 英文摘要 | 纵观过去一百年中全球五大并购浪潮，3/4收购兼并最终以失败告终（黄世忠，2009）。当前，我国企业正迎来新一轮的“走出去”高潮，据商务部统计，2008年至2011年，我国企业以海外并购方式实现的对外直接投资合计1063亿美元，年均增长44%。2012年，中国已成为世界第五大对外投资国，全年非金融类对外直接投资达772.2亿美元，为7年来最高水平，投资和并购区域遍布141个国家和地区。但与此同时，中国海外投资和并购的失败率也呈现逐年上升趋势（张建红，卫新江和海柯•艾伯斯，2010）。据2011年1月30日《金融时报》报道，2009和2010年中国企业跨国收购失败率甚至分别高达12%及...; There are five mergers and acquisitions (denoted as “M&As” thereafter) waves in the past century, among those M&A transactions, 75% failed (Shizhong Huang, 2009).
