英文摘要	摘要 改革开放以来，虽然我国大多数国有企业进行了公司制改造,但与现代企业制度的内涵相比,有一定差距,尤其在构成公司法人治理结构的重要方面——监事会的设置和职责要求上相距更远。在国有企业监督体制上，重庆市经历了稽查特派员、外派监事会和“外派内设”监事会三个阶段。本文通过对重庆市国有企业监督体制的分析和研究，一方面丰富国有企业监督体制的理论和方法，另一方面，将进一步优化重庆市国有企业监督体制，促进重庆国有企业的改革和发展。 论文借鉴国外国有公司监事会制度的经验，分析我国国有企业监事会制度存在的问题，深入分析重庆市“外派内设”监事会制度模式的执行情况及存在的问题，提出重庆市国有企业监事会制度改进...; Abstract Since the implementation of reform and opening-up policy, most of SOEs in China have carried out governance restructure.
