英文摘要	本文因应日前证监会《上市公司收购管理办法》修法之背景，置法理解释论、比较法论及制度构造论三章对强制要约豁免制度进行学理研议，以探求其法理基础、制度样态及优化方案。 首章法理解释论探讨强制要约豁免制度确立之必要及其法理基础。按豁免筑基于强制要约，是以豁免制度之确立须以强制要约之存续为前提。盖强制要约收购以中小股东利益保护为宗旨，使其于公司控制权移转时得分享溢价、获得退出机会或实现公平应卖，故基于法益平衡及国情分析，我国确立强制要约收购洵属必要。惟为补益其阻碍并购效率及影响公司外部治理机制等制度性缺失，又应同时构建豁免制度。豁免制度之法理基础为效率价值对公平价值之补益，且透过法经济学分析易知强制...; This paper is a theoretical research to the exemption rules of mandatory takeover-bid, which consists of the following three chapters—the Legal Explanation, the Comparative Law and the Construction of the Law System.
