| 英文摘要 | 公司是市场经济的主要组织形式，2006年正式施行的新《公司法》是顺应放松管制、强化公司自治的世界潮流，也是我国加快改革步伐，完善市场经济体制的要求。在公司法放松管制、加强自治的潮流中，一个极为重要的问题—公司章程的自由问题还没有得到足够的重视。公司章程作为实现公司自治最为重要的制度安排，与公司的实际运作息息相关。但是，由于我国长期缺乏私权文化传统，国家把公司当作规制的工具。从认识根源上，公司难以实现自治，同时，公司章程自治的作用和价值在实践中也没有引起足够的重视。 本文从公司章程自治理论入手，对公司章程自治的相关问题进行了探讨。全文共分为三章。第一章介绍公司章程自治的理论，这是研究公司章程自...; Corporation is the main form of organization in the market economy,in order to accelerate the pace of the reform and opening-up and perfect the present market economy, the new Company Law was put into force in 2006, which adapts to the world’s trend of deregulation and strengthening the corporate autonomy.
