| 英文摘要 | 所谓股份回购是指股份有限公司为了特定的目的，通过一定的途径购回自己已经发行在外的部分股份的行为。由于公司回购自己股份可能造成实质减资，而回购过程中亦有可能发生各种滥用情形，从而造成种种弊端，故法律一般严格限制或禁止股份回购。但不可否认，股份回购作为一种资本运作方式，具有无可比拟的经济功能，而且在实践中得到广泛应用。有鉴于此，世界上大多数国家均对股份回购采取“原则禁止，例外允许”的立法模式，我国新旧公司法均从此例，唯有美国等少数国家采取“原则允许，例外禁止”的模式。现代股份有限公司作为所有权与经营权相分离的典型形式，使得中小股东越来越远离公司的最终控制权，相对于控股股东而言，中小股东因持股比例低...; The share repurchase is the legal act that a stock company repurchases by some way its own emitted shares for some certain proposes.
