| 英文摘要 | 投资基金作为一种投资工具，既有投资上专业化管理、分散风险的优点，同时又有可能被基金管理人滥用权力的危险。因此，要使其发挥应有的作用，就必须完善基金治理结构。美国的公司型投资基金发展迅猛，就得益于其法律对基金治理结构的规定，其法律制度也被各国所引进和效仿。我国的投资基金也正处于发展过程中，治理结构上同样存在着诸多问题。本文通过分析公司型基金治理的相关理论以及美国公司型基金治理的立法规定，对我国基金治理结构的完善提出了相应建议。除引言和结论外，本文共分为四章。第一章概述了公司型基金的概念、特征和内部结构，介绍了公司型基金的历史发展，并对公司型基金治理结构的经济学、法学基础理论进行了探讨。第二章主要...; As a kind of investment tool, investment fund, on one hand, has the advantages of professional management, decentralizing risks, on the other hand, bears the danger of being abused by fund managers.
