| 英文摘要 | 内容摘要 萨班斯法案原名为《2002年公众公司会计改革和投资者保护法案》，其是在2001年到2002年美国发生安然、世通财务丑闻案之后，美国为了恢复投资者信心，革除财务丑闻案暴露出的法律制度弊端，加强公司治理监督的产物。萨班斯法案代表了一个新的资本市场监管时代的到来，很多国家开始借鉴萨班斯法案的做法，加强证券市场监管。我国为了促进资本市场健康快速地发展，完善我国企业的内部控制制度，应借鉴萨班斯法案，制定具有我国特色的“萨班斯法案”，即建立我国的公司内控框架和监管制度。 本文除引言和结语外分为三章： 第一章主要介绍引起萨班斯法案的出台背景，说明了其出台前后的争议，随后阐述了其背后的深层...; Sarbanes-Oxley Act is also called “protect bill for accounting reform and investor of listed company 2002”.
