| 英文摘要 | 有限责任公司是一种最重要的公司组织形式。这种公司类型不但数量最多，同时在各国经济生活中扮演着非常重要的角色。而且，多数有限责任公司规模较小，不需要向社会公众募集股份，通常被认为是中小企业的最佳组织形式。有限责任公司面临的法律问题与其他形式的公司有很大不同。有限责任公司的股权缺乏公开的交易市场，股权的转让亦通常受到法律或公司章程的限制。如果公司多数股东滥用其控制权，采取压制行为侵夺少数股东的利益，那么少数股东就可能不得不面临既无法有效退出公司，又无法获取投资回报的困难境地。我国2005年修改后的《公司法》注意到了有限责任公司的特殊性，也加强了这种公司中少数股东权的保护。但是，该法对有限责任公司少...; The limited liability company is the most important kind of organization of the company.
