| 英文摘要 | 内容摘要本文是以有限责任公司的股东权取得为研究对象，在介绍股东权的内容、性质、特征的基础上，对有限责任公司股东权取得在理论和实践中存在的问题和矛盾进行探讨和研究，并针对我国现行公司法对股东权取得规定的不足，提出了完善我国有限责任公司股东权取得制度的一些建设性的意见。全文共分前言、主文和结论三部分，其中主文共三章。第一章主要介绍了股东及股东权的概念、股东权的性质、内容、特征。通过比较股东权性质的七种学说，着重阐述股东权与传统的所有权、债权、社员权等的不同，指出股东权在性质上只能是一种集财产权与非财产权为一身的独立的特殊民事权利。最后对股东权的内容和特征作了概括性的归纳。第二章通过简单介绍有限责任...; ABSTRACT This paper studies the gaining of shareholders’ rights in the limited company.
