| 英文摘要 | 并购与反并购同时存亡，相互制约又彼此促进。目前，随着我国资本市场的日益开放和发展，尤其在股权全流通改革后，市场化的收购与反收购将愈演愈烈。在上市公司被并购的风险日益增加的情形下，研究和探讨上市公司的反并购策略的意义尤为重大。反并购策略虽然在国外成熟市场上已有过广泛应用，可是对于我国现有的条件下，特别是对于我国资本市场刚刚开放、证券市场的发展处于一个极为敏感和风险极高的情形下，反并购的适用性和有效性亟需研究和深入实践。本文在研究和分析英美国家反并购法律规制的基础上，立足于本国市场。首先，阐述反并购法律规制基本策略；其次，在分析、研究英美国家反并购策略的基础上，总结中国并购市场的发展特征分三个阶段...; The activity of mergers and acquisitions and that of anti-mergers and anti-acquisitions are coexist, restraining and reinforcing one another.
