| 英文摘要 | 内幕交易是资本市场的毒瘤，严重危害资本市场的诚信基石，损害投资者的合法利益。各国证券监管部门无一例外地将其作为严厉打击的对象。然而时至今日，内幕交易仍是世界性的监管难题。无论是法学理论界还是法律实务部门都在探求破解之策。 本文对构成内幕交易的三个重要部分内幕信息、内幕交易主体、内幕交易行为进行分别探讨。首先，对于内幕信息，从其基本属性出发，探讨重大性和非公开性的内涵，在实践中存在的问题，以及增加事前的不确定性作为内幕信息的重要属性的建议。其次，对内幕交易主体，在借鉴美国为代表的西方成熟资本市场关于内幕人构成分类理论之基础上，分析我国现行《证券法》关于内幕交易主体的分类及存在的问题，司法解释对...; The insider trading is a malignant tumor in capital market.
