| 英文摘要 | 我国公司法第77条把发起人、资本、章程规定为股份有限公司成立的三大要素，可见发起人在公司设立过程中的重要性。我国现行公司法在发起人责任制度的规定上，如发起人概念的界定、资本充实责任和先公司合同责任等规定不够具体明确，存在一定的法律空白和缺陷。有的过于死板，缺乏英美法系的灵活性和实用性；有的不够具体明确，缺乏大陆法系的严谨性和操作性。随着我国市场化程度的深入进展，公司设立过程中出现的新情况会越来越多，为满足市场经济的健康发展和商事活动有序高效进行的需要，加强这一领域的研究就更加迫切。本文从发起人的概念和法律地位入手，通过探讨发起人民事责任的理论内涵，比较分析了主要国家发起人民事责任的具体形式，对...; Article 77 of China's Company Law provides, promoters, capital and articles of association are three elements of Co., Ltd.
