| 英文摘要 | 现代公司由于所有权与经营权的分离，导致代理人风险问题的产生。为了促进公司高管和公司股东之间形成利益共同体，避免公司内部人控制等风险，推行股权激励机制，是现代公司改革的必然趋势，同时，也取决于相关法律制度的构建与完善。基于上述考虑，本文以国内股权激励的立法和实践为背景，采取比较分析法、综合归纳法等研究方法，探讨目前实践中存在的法律问题和法律障碍，进一步梳理公司内、外部治理的法律关系。在借鉴英美法系国家立法和实践之成功经验的基础上，对我国股权激励机制的完善提出建议。本文的主要内容分为以下几个部分：第一部分为股权激励概述，该部分从股权激励的概念、法律特征入手，分析了股权激励机制的定义和价值，并分析了...; The separation of ownership and management of the modern company leads to the generation of the problem of principal - agent.
