英文摘要	内容摘要 我国自1993年提出建立现代企业制度以来，国有企业的公司制改革已走过二十多年的历程，国有企业改革取得了重大的进展。在国企改革与发展过程中，有一批企业通过规范的公司制改革建立了比较规范的法人治理结构，形成了科学的决策机构，提高了市场竞争力。但也有不少企业虽建立了股东大会、董事会和监事会，职能不健全的同时，权力也无有效制衡机制，现代公司法人治理结构尚存在诸多问题需要解决和完善。作者认为，改制后的公司法人治理结构的健全和完善将是一项任重而道远的系统工程，不仅是建立现代企业制度的重要内容，而且直接关系到国有企业公司制改革的进程和成效，是做强做大国有企业的重要保证。 国有企业的法人治理结构...; Abstract : Since 1993 when China proposed the establishment of a modern enterprise system, the reform of state-owned enterprises has gone through the course of more than 20 years, the reform of state-owned enterprises has made great progress.
