英文摘要	独立董事制度最早起源于美国，我国引进独立董事制度时间较短，但学界与立法界对独立董事问题的研究与规范数量不少。然而，独立董事制度在我国上市公司治理过程中的效果仍然不甚显著。随着我国监管部门对上市公司关联交易、虚假信息披露问题的严查，独立董事监督职能的履行显得尤为重要，从1996年起陆续颁布的法律法规对独立董事制度的构建愈加完善，对独立董事的特殊授权也逐渐增多，但制度的设计与架构应根植于制度产生的背景与前提，基于我国较为特殊的上市公司治理结构，加之独立董事人员时间与精力的普遍不足，过度的授权会导致独立董事制度规定的权责失衡，加重独立董事职能履行的困难。长期以来，立法与学界将注意力集中在独立董事的监...; The independent director system originated from the United States.
