| 英文摘要 | 内容摘要 股份回购属于一种特殊的股份转让方式，因在优化企业资本结构、实施管理层及员工持股计划、提高股价、反敌意收购等多方面发挥着重要作用，被西方国家成熟资本市场广泛运用。 世界各国关于股份回购的立法模式主要分为两种：“原则允许，例外禁止”型和“原则禁止、例外允许”型。我国属于后者，采严格管制之立法模式。随着股份回购的价值和作用被各国认识和接受，越来越多的国家对股份回购的管制呈现出放松趋势。我国也通过2005年修订《中华人民共和国公司法》（下称《公司法》），制定和修改一系列有关股份回购的法律法规，使得法律对股份回购的管制有了一定放松。 2013年上海证券交易所发布的《上海证券交易所上市公司...; ABSTRACT As a special way of share transfer, share repurchase is widely used by western countries.
