| 英文摘要 | 随着国内IPO大门的收紧，企业在国内上市越来越难，这既有宏观经济环境的原因，也有市场风险控制的原因，还有证券市场管理决策的原因。在此背景下，现有的“壳资源”成为市场上的稀缺资源，很多企业试图通过借壳上市的方式实现曲线上市，以“买壳”作为融资的通道。房地产企业有着大量的、紧迫的融资需求，但是房地产市场监管政策趋严，房地产企业已经很难获准上市，因此借壳上市成为很多房地产企业通行的上市策略。但是，由于信息不对称、暗箱操作和内幕交易等因素的存在，导致借壳上市过程中存在很多风险，稍有不慎房地产企业在借壳上市过程中即可能非但没有实现融资目标，反而承受巨大的法律风险与法律责任。本文主要对房地产企业借壳上市这...; With the strict limitation in IPO application and approval in inner market, the enterprises are hard to be a listed company for many reasons, such as the macro economic environment and the stock market management.
