| 英文摘要 | 协议控制模式产生之初就备受争议,其原因不仅在于协议控制模式通过一系列的控制性协议规避了国家监管部门的法律监管,更重要的是协议控制模式存在着各种风险。如果不能有效控制协议控制模式所产生的各种风险,将会对市场经济秩序产生破坏作用。而我国目前对协议控制模式的法律监管规范较少,并且这些监管规范存在着各种问题,不能有效地控制协议控制模式所产生的风险。因此对协议控制模式进行有效的法律监管,应当从分析协议控制模式可能存在的风险着手,反思我国当前对协议控制模式的法律监管现状并分析其中存在的问题,并且应当转变监管思路,化堵为疏,减少协议控制模式被应用的动机,以根本上解决这一法律限制下的“道德困境“。; It has been disputed by many academics since the VIEs mode produced.It's not only because that the VIEs mode avoids the state's legal regulatory by series of controlled protocols, but also, even more important, the VIEs mode contains varieties of risks.If we can't control every risk that originates from the VIEs mode, it will push a devastating effect on market economic order.Currently, there are only several regulatory norms on the VIEs mode in China.Besides, a lot of loopholes hiden in the existing regulatory norms, and the norms can't control the risks deriving from the mode effectively.Therefore, if we plan to take a legal regulation on the VIEs mode, we should commence on analyzing the possible risks existing in the mode.We also should reflect on the problems in the current legal regulatory norms, and find effective methods to supervise and manage VIEs mode perfectly. |
